IN CONSIDERATION OF THE OPPORTUNITY TO ATTEND THE NPLA CONFERENCE (“Event”), CONNECTING LENDERS, CAPITAL PROVIDERS, INVESTORS, BROKERS, BORROWERS, LEGAL SERVICES, TITLE COMPANIES, RATING AGENCIES, REAL ESTATE AGENTS, VENDORS, AND OTHER SERVICE PROVIDERS, AND BY SUBMITTING YOUR REGISTRATION, PURCHASING OR USING A TICKET, BADGE, SPONSORSHIP, EXHIBIT PACKAGE, VIP, PREMIER OR GENERAL ADMISSION PASS, CLICKING “I AGREE,” ATTENDING THE EVENT, OR ACCEPTING EVENT CREDENTIALS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THE FOLLOWING TERMS AND CONDITIONS (“Terms and Conditions”), THE TERMS STATED ON THE REGISTRATION, PAYMENT, SPONSORSHIP, OR EVENT MATERIALS, AND ANY APPLICABLE SPONSOR AGREEMENT. IF YOU REGISTER, PURCHASE, OR ACCEPT CREDENTIALS ON BEHALF OF ANOTHER PERSON OR ENTITY, YOU REPRESENT THAT YOU ARE AUTHORIZED TO BIND THAT PERSON OR ENTITY AND THAT EACH ATTENDEE WILL COMPLY WITH THESE TERMS AND CONDITIONS:
This is a live event. All purchases, registrations, seats, badges, sponsorships, exhibitor packages, VIP passes, Premier passes, General Admission passes, upgrades, add-ons, and fees are final, non-refundable, non-cancelable, and not eligible for rain checks, credits, deferrals, or substitutions except as expressly approved in writing by NPLA Conference Holdings, LLC in its sole discretion. If NPLA Conference Holdings, LLC cancels or materially reschedules the Event, NPLA Conference Holdings, LLC may, in its sole discretion and without obligation, offer substitute admission, credit, transfer, or other accommodation, but nothing in these Terms and Conditions requires any refund, credit, rain check, reimbursement, or other compensation except to the extent required by applicable law or expressly approved in writing by NPLA Conference Holdings, LLC in its sole discretion. You agree to pay all amounts when due and not to initiate or pursue any chargeback, payment reversal, or similar dispute for any amount validly charged under these Terms and Conditions, except to the extent required by applicable law. Each purchased seat must have an individual’s name and contact information associated with it. Email confirmations with Event information will be sent to every guest, and you agree to provide a current phone number so that, in the event of an email bounce or delivery issue, NPLA Conference Holdings, LLC may contact you. NPLA Conference requires that any name substitution be requested and completed at least twenty-four (24) hours prior to the Event and may require updated contact information, proof of authorization, and compliance with credentialing requirements. Badge sharing, credential sharing, unauthorized transfers, resale, and use of a ticket or badge by any person other than the registered individual are prohibited. For sponsorships, VIP, Premier, and General Admission guests, catered events, meals, parties, networking app access, meeting tools, saved-contact features, sponsor exposure, exclusive content, presentations, exhibitor hall access, consultations, workshops, showcases, and other stated benefits are subject to the agenda, applicable package description, RSVP requirements, availability, capacity, venue rules, security, catering deadlines, app availability, production requirements, Event changes, any separate sponsor or exhibitor agreement, and other Event requirements, and are not guaranteed without satisfaction of all applicable conditions and deadlines communicated by NPLA Conference Holdings, LLC.
You grant permission to NPLA Conference Holdings, LLC and its contractors or agents to (i) record your image, likeness, and/or voice on a photographic, video, audio, digital, electronic, or any other medium, (ii) use, reproduce, modify, exhibit and/or distribute any such recording, in whole or in part, in any manner or medium now known or hereafter developed (including without limitation, print publications, DVDs and internet) for any purpose that NPLA Conference Holdings, LLC may deem appropriate, including without limitation promotional or advertising efforts; and (iii) use your name and biographical material in connection with any such recordings or uses. You understand and agree that your image may be edited, copied, exhibited, published or distributed and waive the right to inspect or approve the finished product wherein your likeness appears. You understand that NPLA Conference Holdings, LLC will be the owner of all such recordings and uses. Additionally, you waive any right to royalties or compensation arising from or related to the use of your image or recording. There is no time limit on the validity of this release nor is there any geographic limitation on where these materials may be distributed.
You understand that you are providing your personal information to NPLA Conference Holdings, LLC in order to register you for, administer, secure, credential, and operate the Event. You understand that some of your personal information, including attendee contact and registration information such as name, title, company, mailing address, email address, phone number, registration category, badge scans, session or catered-event RSVPs, app profile information, meeting requests, saved contacts, and other information you provide, generate, access, or make available in connection with the Event, may be provided or made available through Event systems to third parties, including but not limited to Event sponsors, exhibitors, vendors, service providers, venues, security personnel, and other Event attendees, for Event-related networking, lead retrieval, follow-up, administration, security, credentialing, and operation. You further understand that some of your personal information may be used by sponsors or exhibitors for promotional, marketing, sales, lead-retrieval, follow-up, and relationship-management purposes. Please review NPLA Conference Holdings, LLC’s Privacy Policy for more information. Any attendee list, sponsor list, badge information, contact information, app, networking, meeting, saved-contact, lead data, or other Event data provided or made available to you may be used only for legitimate Event-related networking and follow-up and may not be sold, licensed, scraped, harvested, transferred, uploaded to a marketing database for unrelated campaigns, used for spam, resale, unrelated marketing, unlawful or deceptive solicitations, or used in violation of applicable privacy, data-security, anti-spam, telemarketing, or consumer-protection laws. Sponsors, exhibitors, vendors, service providers, venues, security personnel, attendees, and any other recipients of personal information or Event data are responsible for complying with all applicable privacy, data-security, anti-spam, telemarketing, and consumer-protection laws in connection with their receipt, use, storage, disclosure, and protection of that information or data.
If you provide your credit card, debit card, ACH, wire, or other payment information, you understand and acknowledge that your payment information, if applicable, will be used by NPLA Conference Holdings, LLC or its payment processor to process the fee(s), taxes, charges, and other amounts described on the registration, sponsorship, payment, or Event materials. You represent that you are authorized to use the payment method provided, authorize NPLA Conference Holdings, LLC and its payment processors to charge all amounts due, and agree that you remain responsible for any declined payment, processing fee, collection cost, chargeback fee, or other amount resulting from your registration, purchase, sponsorship, or attendance.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE EVENT, REGISTRATION, SPONSORSHIP BENEFITS, CONTENT, MATERIALS, SERVICES, VENUE ACCESS, NETWORKING OPPORTUNITIES, CATERED EVENTS, MEALS, PARTIES, APP FEATURES, MEETING TOOLS, SAVED CONTACTS, SPONSOR EXPOSURE, EXCLUSIVE CONTENT, PRESENTATIONS, EXHIBITOR HALL, CONSULTATIONS, WORKSHOPS, SHOWCASES, AND RELATED OFFERINGS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AVAILABILITY, ATTENDANCE LEVEL, BUSINESS RESULT, LEAD GENERATION, SPONSORSHIP RETURN, RETURN ON INVESTMENT, INTRODUCTION, MEETING, OPPORTUNITY, DEAL, PARTNERSHIP, FINANCING, OR PARTICULAR OUTCOME. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER NPLA CONFERENCE HOLDINGS, LLC NOR ANY OF ITS DIRECTORS, MANAGERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, SPONSORS, VENDORS, VENUES, AGENTS, OR OTHER REPRESENTATIVES WILL BE LIABLE FOR ANY OF THE FOLLOWING LOSSES OR DAMAGE (HOWSOEVER ARISING AND WHETHER SUCH LOSSES WERE FORESEEABLE OR NOT): LOSS OF PROFIT, LOSS OF REVENUE, LOSS OF BUSINESS OR OPPORTUNITY, LOSS OF REPUTATION OR GOODWILL, LOSS OF DATA, PERSONAL INJURY, PROPERTY DAMAGE, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SPECIAL LOSS; WHETHER ARISING IN CONNECTION WITH THE EVENT OR THE PROVISION OF OUR SERVICES TO YOU. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NPLA CONFERENCE HOLDINGS, LLC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE EVENT, THESE TERMS AND CONDITIONS, ANY REGISTRATION, ANY SPONSORSHIP, OR ANY RELATED SERVICES WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO NPLA CONFERENCE HOLDINGS, LLC FOR THE SPECIFIC REGISTRATION, TICKET, OR SPONSORSHIP GIVING RISE TO THE CLAIM.
NPLA Conference Holdings, LLC is committed to providing a safe, productive, and welcoming environment for all meeting participants, including private money lenders, capital providers, investors, brokers, borrowers, legal services, title companies, rating agencies, real estate agents, vendors, and other service providers in the business purpose lending and non-owner occupied real estate finance space. All participants, including, but not limited to, attendees, guests, speakers, volunteers, sponsors, exhibitors, staff members, service providers, and all others are expected to abide by the Event code of conduct, all Event policies, all venue, health, safety, security, credentialing, access-control, and capacity rules, and all applicable laws. NPLA Conference Holdings, LLC may, in its sole discretion and without refund, credit, or other compensation, deny admission, revoke credentials, remove any person from the Event, refuse future registration, or take other action for disruptive, unsafe, harassing, discriminatory, threatening, unlawful, fraudulent, unauthorized, or otherwise inappropriate conduct; violation of these Terms and Conditions; violation of venue or security rules; badge sharing; unauthorized solicitation; misuse of attendee, sponsor, app, networking, meeting, saved-contact, lead, or other Event information; scraping, spam, resale, unrelated marketing, or unlawful solicitations; or conduct that NPLA Conference Holdings, LLC determines may adversely affect the Event, attendees, sponsors, venue, or NPLA Conference Holdings, LLC.
By participating in the Event, you may be exposed to certain dangers, risks or hazards, including but not limited to contracting communicable diseases, natural disasters, terrorism events, etc. You agree to assume the full risk, including risk which is not specifically foreseeable, of any injuries, including death, damages or loss, regardless of severity, which you may sustain as a result of participating in any and all activities connected with or associated with the Event.
You agree to indemnify, defend, and hold harmless NPLA Conference Holdings, LLC and its officers, managers, members, directors, employees, agents, suppliers, vendors, agencies, venues, contractors, sponsors, exhibitors, guests, attendees, successors, and assigns from and against any and all demands, claims, fines, investigations, penalties, damages, losses, liabilities, judgments, and expenses (including reasonable attorneys’ fees and court costs) (collectively, “Claims") arising out of or relating to your registration, purchase, sponsorship, attendance, participation in the Event, materials, presentations, advertising, marketing collateral, products, services, loan programs, financing options, statements, omissions, introductions, meetings, opportunities, deals, partnerships, lead generation, use or misuse of Event data or networking features, misconduct, negligence, violation of law, violation of venue or security rules, violation of these Terms and Conditions, unauthorized recording or use of Event materials, misuse of attendee or sponsor data, property damage, bodily injury, third-party claims, infringement, misappropriation, or alleged violation of any intellectual property, privacy, publicity, confidentiality, contractual, or other right. Further, for yourself and your heirs, personal representatives and assigns, you hereby release, relinquish and discharge NPLA Conference Holdings, LLC and its predecessors, successors, assigns, legal representatives, and its former, present and future agents, officers, managers, members, directors and employees from any liability resulting from the negligence of NPLA Conference Holdings, LLC or any of the foregoing parties, to the maximum extent permitted by law.
NPLA Conference Holdings, LLC reserves the right to change, amend, add, or remove any of these Terms and Conditions in its sole discretion and without prior notice. Sponsorship, exhibitor, VIP, Premier, General Admission, catered-event, speaking, promotional, branding, exhibit, lead-retrieval, networking app, meeting, saved-contact, sponsor-exposure, exclusive-content, presentation, exhibitor-hall, meal, party, consultation, workshop, showcase, and other benefits are subject to the agenda, applicable package description, registration page, Event materials, RSVP requirements, availability, deadlines, capacity, venue rules, app availability, production requirements, Event changes, and any separate sponsor or exhibitor agreement, and NPLA Conference Holdings, LLC does not guarantee attendance, traffic, sales, leads, meetings, impressions, placement, competitive exclusivity, sponsor return on investment, or business results unless expressly stated in a signed written agreement. Sponsor and exhibitor packages, benefits, obligations, cancellation terms, deliverables, branding rights, lead retrieval, data use, intellectual-property and content warranties, insurance requirements, booth or display rules, and indemnities may be subject to separate sponsor or exhibitor agreements, order forms, package descriptions, or other package terms. If a signed written sponsor or exhibitor agreement expressly conflicts with these Terms and Conditions as to sponsor-specific or exhibitor-specific matters, the signed written sponsor or exhibitor agreement controls those matters to the extent of the express conflict. If one or more of the conditions outlined in these Terms and Conditions should become invalid, the remaining conditions will continue to be valid and apply. These Terms and Conditions apply to all event participants (attendees, guests, speakers, sponsors, exhibitors).
NPLA Conference Holdings, LLC reserves the right, due to unforeseen circumstances or for any reason it determines appropriate, to cancel, postpone, reschedule, relocate, reconfigure, reduce, expand, substitute speakers or sponsors, modify agendas, change venue, change dates or times, impose access, health, safety, security, credentialing, or capacity requirements, or convert all or part of the Event to a virtual, hybrid, or alternative format. NPLA Conference Holdings, LLC will endeavor to provide you with notice of material alterations. Without limiting the no-refund policy above, NPLA Conference Holdings, LLC will not be liable for, and no refund, credit, rain check, reimbursement, or other compensation is promised for, any cancellation, postponement, relocation, virtual conversion, agenda change, speaker change, sponsor change, capacity limitation, venue rule, security requirement, travel cost, lodging cost, lost opportunity, or other loss arising from acts of God, weather, natural disaster, fire, flood, epidemic, pandemic, communicable disease, public-health requirement, terrorism, civil unrest, labor dispute, power or internet failure, venue unavailability, government action, emergency, supply-chain disruption, vendor failure, or any other cause beyond NPLA Conference Holdings, LLC’s reasonable control or otherwise making the Event impracticable, inadvisable, or impossible as determined by NPLA Conference Holdings, LLC.
The views expressed by any event attendee, guest, speaker, exhibitor, sponsor, lender, broker, investor, capital provider, borrower, legal-service provider, title company, rating agency, real estate agent, vendor, or other service provider are not necessarily those of NPLA Conference Holdings, LLC. All attendees, guests, speakers, exhibitors, and sponsors are solely responsible for the content of all individual or corporate presentations, marketing collateral, and/or advertising, including any views expressed regarding private money lending, business purpose loans, non-owner occupied property, real estate finance, specialized loan programs or products, financing options, risk management, deal structuring, market analysis, underwriting, compliance, market strategy, legal, regulatory, investment, tax, accounting, or business matters. The Event, sessions, materials, communications, speaker remarks, sponsor content, product showcases, broker workshops, meetings, networking app, saved contacts, exhibitor hall, consultations, presentations, and networking discussions are provided for general informational and networking purposes only and do not constitute legal, regulatory, investment, tax, accounting, business, lending, underwriting, compliance, or other professional advice. NPLA Conference Holdings, LLC does not originate, broker, arrange, underwrite, recommend, endorse, verify, or guarantee any loan, financing product, attendee, lender, broker, investor, capital provider, sponsor, exhibitor, service provider, opportunity, deal, partnership, return, introduction, meeting, lead generation, attendance level, sponsor return on investment, or business result. You are solely responsible for your own diligence, decisions, underwriting, compliance, and business activities and should consult your own qualified professional advisors before relying on, acting upon, or refraining from acting upon any information, introduction, meeting, opportunity, loan program, financing option, product, service, or relationship obtained in connection with the Event. You may not photograph, film, livestream, broadcast, record, copy, reproduce, distribute, sell, post, publish, create derivative works from, or otherwise exploit any session, presentation, attendee-list data, sponsor materials, Event materials, or proprietary content except as expressly authorized in writing by NPLA Conference Holdings, LLC or the applicable rights holder.
If these Terms & Conditions conflict with any registration page, payment page, sponsorship material, or other Event material, these Terms & Conditions control unless a signed written agreement expressly states otherwise. These Terms & Conditions and any dispute or claim arising out of, or in connection with them or their subject matter, the Event, any registration, any sponsorship, or any related services, shall be subject to the laws of the applicable jurisdiction stated on the registration page or other Event materials, exclusive of the choice of law rules of any jurisdiction. If no jurisdiction is stated on the registration page or other Event materials, these Terms & Conditions and any such dispute or claim shall be governed by the laws of the State of Delaware, exclusive of its conflict-of-law rules, and the state and federal courts located in Delaware shall have exclusive jurisdiction and venue, and each participant consents to personal jurisdiction in those courts and waives any objection based on inconvenient forum or improper venue.
